取締役
取締役とは、株主から会社経営を委任された者のことである。取締役は、取締役会の構成員として主に以下の職務を担う。1.会社経営における業務上の意思決定を行い、代表取締役にその執行を委任する
2.代表取締役の業務執行の監督
3.代表取締役の選任、解職
4.その他重要な業務執行についての意思決定
近年、取締役会のスリム化、取締役会の形骸化を防ぐ目的として、執行役員制度の導入や委員会設置会社への移行、社外取締役の受け入れが進んでおり、取締役の権限や職務も多様になってきている。いずれにおいても、経営監督機能の強化、意思決定の迅速化が図られている。取締役の選出は株主総会の決議でなされる。員数は、取締役会設置会社の場合3名以上とし、取締役全員で取締役会を構成することとされている（取締役会非設置会社は1名以上）。任期は2年後の定時株主総会までである（委員会設置会社では1年後の定時株主総会まで、非公開会社では1年～10年以内）。
